These TOS guidelines are to be applied to both sites that we build for you and for sites that are self-designed. If you are designing your own site to be hosted on our servers, you must adhere to the hosting TOS guidelines for content in the material that you create. Because of this, these TOS apply to hosting criteria as well.

1.) Account Setup

We will setup your account and begin designing your page after we have received a $10 deposit payment and we and/or our payment partner(s) have screened the order(s) incase of fraud. It is your responsibility to provide us with an email address which is not @ the domain(s) you are signing up under if you are purchasing hosting with us as well. This $10 will be applied to your domain name purchase if you are hosting with us. If not, then it will apply to the total charge of your web-site build.

2.) Content

As our client, you will be expected to come up with content for the building of the pages. We will furnish you with design elements for you to choose from, but the final product must be approved by you. We expect you to inform us if there is anything that you are dissatisfied with before the final invoice is sent. We desire for you to have complete satisfaction, and we cannot achieve that goal if you are not candid about your design preferences.

All services provided by us may only be used for lawful purposes. This includes, but not limited to: copyrighted material, material we judge to be threatening or obscene, ###########.

IRC Bots

Warez Sites

Pirated Software

Hate sites

Hack programs and archives

3.) Payment Information

For larger projects, you may be asked to make payments on a periodic basis as the page is being built and you agree to the direction the project is moving. For normal projects, you will be expected to pay in full at the completion of the project.

You must agree to supply appropriate payment for the services received from us, in advance of the time period during which such services are provided if we request it in writing. You agree that until and unless you notify Sheridan Productions of your desire to cancel any or all services being given, those services will be billed as the pages are being built for you.

We reserve the right to change the payment amount and any other charges at anytime for reasonable reasons like unexpected problems or issues with the building of your pages.

4.) Backups and Data Loss

Although we make backups of the data that we create, we cannot be held responsible for the loss of that data. You must insure your own data safety by performing backups yourself. Your use of our services is at your sole risk. We cannot be held responsible for files and data given to us or built by us for your account. You will not be charged for a rebuilding of pages that we have lost due to our negligence, however, if the loss occurs by means of an "Act of God" and you cannot supply backups, you will be charged for a rebuild. You agree to take full responsibility for files and data transferred to Sheridan Productions.

5.) Cancellation and Refunds

We reserve the right to cancel our services to you at any time.

Customers may cancel at any time. You will be charged for the work done up to that time, and will be responsible to pay for it in full. If the build was being done for a flat rate, you will be charged a percentage of that rate equal to the percentage of the work that was already completed.

6.) Resource Usage

When designing your pages, keep in mind the following guidelines that a majority of hosts hold designers to:

Users may not initiate the following:

a) Use 25% or more of system resources for longer then 90 seconds. There are numerous activities that could cause such problems; these include: CGI scripts, FTP, PHP, HTTP, etc.

b) Run any type of interactive real-time chat applications that require server resources. Remotely-hosted services are fully allowed.

c) Run stand-alone, unattended server-side processes at any point in time on the server. This includes any and all daemons, such as IRCD.

d) Run any software that interfaces with an IRC (Internet Relay Chat) network.

e) Run any gaming servers such as counter-strike, half-life, battlefield1492, etc

7.) Satisfaction Guarantee

We will do our best to make sure you are satisfied by continuing to make changes and redo pages that are not what you desired. Remember, though, that the more you ask us to change things, the more we have to charge as we have to rebuild or make changes. If you ever become dissatisfied with how we are approaching the situation, we reserve the right to refund a prorated amount or no refund at all.

8.) Price Change

When we begin building your site, we will give you an estimate of the total cost based upon our current hourly rate and the estimated size of the project you are asking us to do. Please understand that this is only a rough estimate and the price could end up higher or lower than the estimate based on the actual number of hours that were put into your project. You will get a copy of all time spent on your project as logged by us with notes as to what was being built at that time.

We will do our best to make sure that the hourly amount (or flat rate) you agree to pay for web design and build will not increase during the initial design. Future designs or changes may come at an increased cost as web service costs in the industry rise. We will always stay at the most competitive price range to ensure you are getting the best deal. We reserve the right to change prices listed on our site at any time. It is our policy to try to freeze service prices for loyal customers.

Customers that have been with us for many years are still paying the same build rate for their changes that they initially paid several years ago even though the cost for new clients is significantly higher.

9.) Indemnification

Customer agrees that it shall defend, indemnify, save and hold us harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorney's fees asserted against us, its agents, its customers, officers and employees, that may arise or result from any service provided or performed or agreed to be performed or any product sold by customer, its agents, employees or assigns. Customer agrees to defend, indemnify and hold harmless any  liabilities arising out of; (1) any injury to person or property caused by any products sold or otherwise distributed in connection with us; (2) any material supplied by customer infringing or allegedly infringing on the proprietary rights of a third party; (3) copyright infringement and (4) any defective products sold to customers from Sheridan Productions's server.

10.) Disclaimer

We will not be responsible for any damages your business may suffer. We make no warranties of any kind, expressed or implied for services we provide. We disclaim any warranty or merchantability or fitness for a particular purpose. This includes loss of data resulting from delays, no deliveries, wrong delivery, and any and all service interruptions caused by us and our employees.

11.) Changes to the TOS

We reserve the right to revise its policies at any time without notice.
